11. Governing Law. This Agreement will be governed by the laws of the Commonwealth of Virginia, without regard to conflicts of law rules, and the exclusive jurisdiction and venue for any dispute shall be the Commonwealth of Virginia.

12. Term, Termination, Amendments. VSM reserves the right at any time and for any reason to deny you access to the Site or any portion thereof, and to terminate this Agreement. Termination will be effective without notice. Please note that VSM reserves the right to change the Terms and Conditions and Privacy Policy under which this Site is made available to you, without notice. You should review the Terms and Conditions and Privacy Policy periodically to ensure familiarity with their then-current terms and conditions. Your continued use of this Site will be conclusively deemed acceptance of any changes.

13. Waiver. Failure to insist on strict performance of any of the Terms and Conditions of this Agreement will not operate as a waiver of any subsequent default or failure of performance. No waiver by VSM of any right under these Terms and Conditions will be deemed to be either a waiver of any other right or provision or a waiver of that same right or provision at any other time.

14. Nature of Relationship/Severability. No joint venture, partnership, employment, or agency relationship exists between you and VSM as a result of this Agreement or your use of this Site. If any provision of this Agreement is held unenforceable by a court or tribunal of competent jurisdiction, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.

15. Entire Agreement/Reservation of Rights. These Terms and Conditions and VSM’s Privacy Policy represent the entire agreement between you and VSM with respect to your use of and material available on or through this Site, with the exception of any products (including any software), and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written between you and VSM with respect to this Site. Any rights not expressly granted herein are reserved.

16. Information You Provide. You may not post, send, submit, publish, or transmit in connection with this site any material that:

· you do not have the right to post, including proprietary material of any third party;

· advocates illegal activity or discusses an intent to commit an illegal act;

· violates any law or may be considered to violate any law;

Although under no obligation to do so, our Company reserves the right to monitor use of this site to determine compliance with these Terms & Conditions, as well the right to remove or refuse any information for any reason. If you use a password that Company considers insecure, Company will be entitled to require the password to be changed and/or terminate your account.

The use or distribution of tools designed for compromising security (e.g., password guessing programs, cracking tools or network probing tools) is strictly prohibited. If you become involved in any violation of system security, Company reserves the right to release your details to system administrators at other sites in order to assist them in resolving security incidents. BY ACCEPTING THIS AGREEMENT YOU WAIVE AND HOLD HARMLESS COMPANY FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY COMPANY DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER [COMPANY] OR LAW ENFORCEMENT AUTHORITIES.
